PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY
These Terms and Conditions ("Terms") govern your access to and use of the Arc Creator website located at www.arccreator.com ("Website") and any services, digital products, or content provided by Peace Okuns operating as Arc Creator ("Arc Creator," "we," "us," or "our"). By accessing the Website, purchasing any product, or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms in their entirety.
If you do not agree with these Terms, you may not use the Website or engage our services.

Service Offered
Arc Creator provides story development and creative writing services for fantasy fiction creators. Our services include, but are not limited to:
Worldbuilding
Power system development
Character development
Plot fleshing and outlining
Creative writing, ghostwriting, editing, and critiquing
Cultural consultation
Copywriting
Consultation calls
Digital products (eBook guides and workbooks)
Other products and services as developed from time to time
The specific scope of services for each engagement will be outlined in the applicable service agreement or project confirmation.
1.1 Creative Discretion and Subjectivity: You acknowledge that all services provided by Arc Creator are creative, artistic, and subjective in nature. Creative decisions, stylistic choices, narrative direction, tone, pacing, and interpretation are exercised at Arc Creator’s professional discretion based on the information provided by you. Differences in personal taste, artistic preference, or creative opinion do not constitute a defect, breach, or failure to perform.
Booking and Payment
2.1 Payment Terms: All payments for services and consultation calls are due in full at the time of booking unless otherwise agreed in writing. Payment for digital products is required prior to delivery. All fees are quoted and payable in United States Dollars (USD) unless otherwise specified.
2.2 Payment Methods: We accept payment through the methods specified on the Website or in your project agreement. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.
2.3 Late Payment: If you fail to make any payment when due, we reserve the right to suspend or terminate access to services and impose late fees at the rate of 5% per month on outstanding balances, or the maximum rate permitted by law, whichever is lower.
Revision Policy
3.1 Eligible Services: Revisions apply only to the following services, subject to the limitations stated below:
Worldbuilding: One (1) minor revision
Power system development: One (1) minor revision
Character development: One (1) minor revision
Plot fleshing and outlining: One (1) minor revision
Creative writing: Two (2) minor revisions
Copywriting: Two (2) minor revisions
3.2 Revision Window: You have five (5) to seven (7) days following project delivery to request your included revision(s). The specific deadline will be communicated in your project delivery notice. Revisions requested after this window will be subject to an additional revision fee as outlined in your project delivery or service agreement.
3.3 Extension Requests: An exception to the standard revision window may be granted if you formally notify us in advance that, due to personal or unforeseen circumstances, you will be unable to review the work within the standard timeframe. To qualify for this exception, you must:
Communicate the request in writing before the revision window expires; and
Provide a specific date by which you will submit revision requests.
If you adhere to the communicated timeline, revisions will be honored without additional charges. Failure to meet the agreed timeline will result in applicable revision fees.
3.4 Scope Limitations: Revisions are limited to minor adjustments within the original scope of work. Changes that constitute new work, expand the project scope, or introduce major revisions will require a separate project fee. Arc Creator, in its sole discretion, determines whether requested changes fall within the scope of included revisions.
3.5 Deemed Acceptance: If you do not submit a revision request or written objection within the applicable revision window, the delivered work shall be deemed accepted in full and final form. Upon deemed acceptance, Arc Creator shall have no further obligation to revise, modify, or adjust the deliverables without additional compensation.
3.6 Milestone and Partial Performance: Where services are delivered in phases or milestones, each completed milestone constitutes partial performance. Delays, dissatisfaction, or termination after partial performance do not negate payment obligations for work already completed.
No Correspondence Policy
If we receive no response or communication from you for a continuous period of twenty-eight (28) days, unless otherwise agreed in advance and documented in writing, your project will be deemed inactive and automatically closed. All remaining or outstanding services will be cancelled and are non-refundable.
Should you wish to resume the project after closure, you will be required to pay:
A project reactivation fee; and
Fifty percent (50%) of the cost of any initial services you choose to continue.
This policy protects our operational capacity and ensures efficient project management.
Intellectual Property Rights
5.1 Ghostwriting Services: For services expressly designated as "ghostwriting" in your service agreement:
You retain all copyright and commercial rights to the final written work upon final delivery and full payment;
Arc Creator retains portfolio rights to display the work (with certain key elements removed or anonymized) in promotional materials, case studies, and portfolio presentations unless you have purchased the NDA option described in Section 5.3; and
You may not claim that Arc Creator is the author of the work, and Arc Creator may not claim authorship except in portfolio contexts.
5.2 Story Development Service: For story development services including worldbuilding, power system development, and character development:
You retain all copyright to the deliverables and work product;
Attribution to Arc Creator is optional and at your discretion;
Arc Creator retains portfolio rights to display the work in promotional materials, case studies, and portfolio presentations; and
Ownership and commercial rights transfer to you upon final delivery and full payment of the completed work.
5.3 NDA Option: Arc Creator offers an optional Non-Disclosure Agreement ("NDA") service for an additional fee. If you purchase the NDA option:
Arc Creator's portfolio rights under Sections 5.1(b) and 5.2(c) are waived entirely;
All confidentiality obligations set forth in a separate NDA agreement will apply; and
You receive full, exclusive copyright with no retention of display or promotional rights by Arc Creator.
Unless a separate written NDA has been purchased and executed, Arc Creator is not obligated to treat project details as confidential beyond reasonable professional discretion, and may reference non-identifying aspects of the work for portfolio, educational, or marketing purposes.
The NDA option must be purchased at the time of service booking and is non-refundable. The duration of any NDA, including a one-year term, shall not limit or override Arc Creator’s rights, protections, or limitations of liability under these Terms, which shall continue to apply independently.
5.4 Idea Overlap Protection: You acknowledge and agree that Arc Creator may work with multiple clients simultaneously, and that conceptual similarities between projects do not constitute a breach of these Terms or any confidentiality obligation. For example, Arc Creator may develop fire-based magic systems, dystopian worlds, or similar thematic elements for different clients without violating any duty owed to you, provided that specific proprietary details unique to your project are not shared between clients.
This clause does not diminish any confidentiality obligations under a separate NDA agreement.
5.5 Arc Creaotor's Intellectual Property All content, materials, designs, graphics, text, images, software, tools, and other intellectual property available on the Website or provided to you as part of our services (excluding the work product specifically created for you under Sections 5.1 and 5.2) remain the exclusive property of Arc Creator.
You may not reproduce, republish, duplicate, copy, sell, display, disclose, or distribute any Arc Creator intellectual property to friends, family, or any third party without our prior written permission. Any unauthorized use constitutes intellectual property infringement and may result in legal action.
Digital Products
6.1 License Grant: Upon purchase of a digital product (eBook guide, workbook, or similar resource), Arc Creator grants you a limited, non-exclusive, non-transferable, revocable license to use the product solely for your personal, non-commercial use in your own creative work.
6.2 Prohibited Uses: You may not:
Republish, reproduce, duplicate, copy, sell, resell, display, disclose, or distribute the digital product to any third party;
Use the product for any commercial purpose that earns you or any third party money, except by applying the concepts and methods generally in your own creative work;
Modify, reverse-engineer, or create derivative works based on the product; or
Share access credentials, download links, or files with others.
By downloading or using the product, you do not acquire any ownership rights. The product remains the exclusive property of Arc Creator. Unauthorized use constitutes infringement and may result in termination of your license and legal action.
6.3 Delivery: Digital products are delivered electronically to the email address you provide at the time of purchase. You are responsible for ensuring the accuracy of your contact information. Arc Creator is not liable for delivery failures caused by incorrect information, spam filters, or technical issues on your end.
Consultation Calls
7.1 Booking and Payment: Consultation calls must be booked in advance and paid in full at the time of booking. Payment is non-refundable once the call has been booked, as preparation begins immediately upon receipt of your questionnaire or project details.
7.2 Recording and Use: All consultation calls are recorded for quality assurance, internal training, and business development purposes. Recordings are the sole property of Arc Creator and are not provided to clients. By participating in a consultation call, you expressly consent to being recorded and grant Arc Creator the right to:
Use recordings internally for training and educational purposes;
Extract screenshots, audio clips, or written testimonials from the call for marketing and promotional purposes; and
Store recordings for an indefinite period.
If you do not consent to recording, you may not participate in consultation calls.
7.3 No-Show Policy: If you fail to attend a scheduled consultation call without at least twenty-four (24) hours advance notice, the session will be considered complete and no refund or rescheduling will be provided.
7.4 Testimonial and Reviews: You grant Arc Creator permission to use written feedback, testimonials, reviews, or non-identifying excerpts of communications for marketing and promotional purposes, unless you expressly object in writing prior to publication.
Client-Provided Materials
8.1 Ownership and Rights: If you provide us with ideas, materials, graphics, text, images, or other content for use in your project ("Client Materials"), you represent and warrant that:
You are the lawful owner of the Client Materials or have obtained all necessary rights, licenses, and permissions to use and share them;
The Client Materials do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party; and
Your provision of Client Materials to Arc Creator grants us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and incorporate the Client Materials into your project deliverables.
8.2 Indemnification: You agree to indemnify, defend, and hold harmless Arc Creator from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of the representations and warranties in Section 8.1 or any third-party claims related to Client Materials you provided.
Refund and Cancellation Policy
9.1 Digital Products: All sales of digital products are final. Because digital products are delivered immediately to your email inbox upon purchase, no refunds will be issued under any circumstances.
9.2 Consultation Calls: Payment for consultation calls is non-refundable once booked. Preparation for your call begins immediately upon booking and receipt of your intake questionnaire. No refunds will be provided for dissatisfaction with the call content or for failure to attend.
9.3 Services: You may request a full refund for service bookings only within twenty-four (24) hours of the initial booking. After this window, work has commenced and payment is non-refundable.
Refunds will not be issued on the grounds of dissatisfaction with project deliverables. If you are unsatisfied with any aspect of the work, you must utilize the revision process described in Section 3.
9.4 Chargebacks: You agree not to initiate a chargeback with your payment provider for any transaction governed by these Terms. If you dispute a charge or initiate a chargeback, we reserve the right to:
Report the incident to credit reporting agencies and chargeback databases;
Suspend or terminate your access to all services and future purchases;
Pursue collection of the disputed amount plus reasonable attorneys' fees and costs; and
Take any other legal action available to us.
Any chargeback request must be resolved directly with Arc Creator before involving your payment provider.
Client Obligations
10.1 Cooperation and Communication: You agree to:
Provide timely responses to requests for information, feedback, or approvals necessary to complete your project;
Supply all required materials, content, and direction in a clear and organized manner;
Review deliverables within the timeframes specified; and
Communicate professionally and respectfully with Arc Creator at all times.
10.2 Prohibited Conduct: You may not:
Use the Website or services for any unlawful purpose or in violation of these Terms;
Transmit any harmful code, viruses, or malicious software;
Attempt to gain unauthorized access to Arc Creator systems or data;
Harass, abuse, or harm Arc Creator or any third party;
Misrepresent your identity or affiliation; or
Engage in any activity that interferes with or disrupts the Website or services.
Violation of this section may result in immediate termination of services without refund and potential legal action.
10.3 Good Faith Conduct: You agree not to publish false, misleading, or bad-faith statements about Arc Creator or its services that materially misrepresent the nature or quality of the services provided. Nothing in this section restricts lawful, honest opinions or legally protected speech.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARC CREATOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, SERVICES, OR DIGITAL PRODUCTS, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ARC CREATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ARC CREATOR'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
Disclaimers
12.1 No Guarantee of Results: Arc Creator provides creative services and educational products based on expertise and experience in the field of fantasy fiction writing and story development. However, we make no guarantees regarding:
The commercial success, publication, or market reception of any work created;
Specific outcomes, results, or achievements from using our services or products;
The suitability of deliverables for any particular purpose beyond the scope outlined in your service agreement.
Your success depends on numerous factors outside of Arc Creator's control, including your own effort, skill, market conditions, and industry developments.
12.2 No Professional Advice: The information, services, and products provided by Arc Creator are for creative and educational purposes only. They do not constitute legal, financial, or professional advice. You should consult with appropriate professionals for such advice.
12.3 "As Is" Basis: THE WEBSITE, SERVICES, AND DIGITAL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Arc Creator does not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
12.4 Third-Party Platforms and Publication: Arc Creator is not responsible for decisions, policies, actions, or outcomes imposed by third-party platforms, publishers, distributors, or marketplaces, including but not limited to Amazon, publishing platforms, or content hosting services. Acceptance, rejection, monetization, visibility, or removal of any work is outside Arc Creator’s control.
12.5 Age Eligibility: The Website, services, and digital products are intended for individuals who are at least eighteen (18) years of age. By accessing the Website, purchasing products, or engaging services, you represent and warrant that you are eighteen (18) years of age or older. Arc Creator disclaims all liability for use of the Website, services, or products by individuals under the age of eighteen (18).
Termination
13.1 Termination by Arc Creator: We reserve the right to suspend or terminate your access to the Website or services at any time, with or without cause, and with or without notice, including if:
You breach any provision of these Terms;
You engage in conduct that we deem harmful to Arc Creator, other clients, or third parties;
You fail to make timely payment;
We are required to do so by law; or
We cease offering services or products.
Termination does not relieve you of any payment obligations incurred prior to termination.
13.2 Effect of Termination: Upon termination:
Your right to use the Website and access services immediately ceases;
Any licenses granted to you under these Terms are revoked;
You must cease all use of Arc Creator intellectual property and digital products;
Sections 5, 8.2, 11, 12, 14, and 15 shall survive termination.
Governing Law and Dispute Resolution
14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
14.2 Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration before a single arbitrator. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act of Nigeria.
The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
14.3 Exceptions of Arbitration: Notwithstanding the foregoing, Arc Creator may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or enforce confidentiality obligations. Arc Creator shall be entitled to seek immediate injunctive or equitable relief without the requirement to post a bond to prevent unauthorized use, disclosure, or infringement of its intellectual property.
General Provisions
15.1 Entire Agreement: These Terms constitute the entire agreement between you and Arc Creator regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
15.2 Amendments: Arc Creator reserves the right to modify these Terms at any time. Changes will be posted on the Website with an updated "Last Updated" date. Continued use of the Website or services after changes are posted constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
15.3 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
15.4 Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Arc Creator's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.5 Assignment: You may not assign or transfer these Terms or any rights granted hereunder without Arc Creator's prior written consent. Arc Creator may assign these Terms at any time without restriction.
15.6 Force Majeure: Arc Creator shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
15.7 Relationship of Parties: It is expressly agreed that Arc Creator is acting as an independent contractor and not as an employee, partner, joint venturer, agent, or representative of the Client. Nothing in these Terms shall be construed to create any partnership, joint venture, fiduciary, employment, or agency relationship between the parties. You have no authority to bind Arc Creator in any manner whatsoever.

15.9 Electronic Acceptance: Your use of the Website, booking of services, or purchase of products constitutes an electronic signature and acceptance of these Terms, enforceable to the same extent as a handwritten signature.
BY USING THE WEBSITE, PURCHASING PRODUCTS, OR ENGAGING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
